Salary: £50k

Our client is a firmly established, market leading non-for-profit organisation based within the Fylde Coast. Due to continued expansion, we are exclusively supporting their recruitment of an experienced Governance Manager to join their Corporate Governance department on a permanent basis.

Supporting and deputising for the DCG, key responsibilities will include:

• Providing strategic level advice on compliance and governance matters

• Manage the delivery of the AGMs, including the proxy vote process and the relationship with external suppliers

• Reviewing and drafting key Corporate Governance documents e.g. terms of reference, matters reserved for the Board, reports for Board and Committee meetings

• Providing end-to-end secretariat support, including developing agendas and papers; overseeing the papers-out process; attending and taking minutes of governance meetings; and overseeing completion of actions

• Providing support to the National Chair and Vice-Chairs, and Chairs of the Scrutiny Body and Committees

• Overseeing compliance with statutory filings at Companies House and maintenance of statutory books

• Managing the Board and Committee records, including the annual workplans/ forward planners

• Drafting procedures and presenting these to the Procedures Committee

• Delivering presentations and training for Board and Committee members and staff e.g., on corporate governance matters and MS Teams

• Overseeing the selection process for Board and Scrutiny Body appointments, including liaising with any external consultants

The successful candidate will be ICSA/CGI qualified, or close to qualifying, will have an interest in corporate governance and company law, and will have experience in the following areas:

• Substantial practical working knowledge of a company secretarial / governance/compliance

• Minute taking at committee and/or Board level

• Supervisory / management experience

• Supporting Directors or senior management
