Our client is a well-established insurance organisation, seeking a Company Secretary Assistant to provide crucial support to their executive management and board members. This role plays a vital role in ensuring compliance with company laws and regulations, both in the UK and Europe.
Key Responsibilities:
- Collaborate with the Company Secretary to offer guidance on all Company Law matters and secretarial functions within the UK Group, such as the preparation of notices, minutes, resolutions, and forms for Companies House.
- Work closely with external advisors to manage local Company Law matters for European subsidiaries within the Group.
- Prepare company secretarial documents efficiently and maintain up-to-date Group company registers.
- Assist in drafting agendas for Board and Committee meetings across all Group companies.
- Compile Board and Committee meeting packs, papers, and minutes for both UK and non-UK entities.
- Draft Board and Committee minutes for UK entities and ensure timely updates on actions for subsequent meetings.
- Coordinate statutory meetings for the company and its subsidiary Boards.
- Actively manage Board and Committee agendas and schedules, ensuring timely publication of documentation.
- Support Board and Committee Chairs in running efficient meetings.
- Facilitate training sessions
Additional Responsibilities:
- Review Group company Board and Committee Terms of Reference and Corporate Governance Manuals, with support from external advisors.
- Assist in drafting statements for UK Group company reports and accounts and annual financial statements.
- Maintain copyright licenses and company numbers. Collaborate with the Company Secretary to offer guidance on all Company Law matters and secretarial functions within the UK Group, such as the preparation of notices, minutes, resolutions, and forms for Companies House.
- Work closely with external advisors to manage local Company Law matters for European subsidiaries within the Group.
- Prepare company secretarial documents efficiently and maintain up-to-date Group company registers.
- Assist in drafting agendas for Board and Committee meetings across all Group companies.
- Compile Board and Committee meeting packs, papers, and minutes for both UK and non-UK entities.
- Draft Board and Committee minutes for UK entities and ensure timely updates on actions for subsequent meetings.

- Manage the relationship with Board Intelligence/Diligent Boards, providing advice, training, or assistance to Board members as needed.
- Oversee the policy timetable and ensure timely submission of policies for review.
- Submit Payment Regulations reports to Companies House bi-annually.

Required Skills and Work Experience:
Must have held the office of secretary of a public company for at least three of the last five years; OR Be a barrister, advocate, or solicitor called or admitted in any part of the United Kingdom;
Or be a member of any of the following bodies:
- Institute of Chartered Accountants in England and Wales
- Institute of Chartered Accountants of Scotland
- Association of Chartered Certified Accountants
- Institute of Chartered Accountants in Ireland
- Institute of Chartered Secretaries and Administrators
- Chartered Institute of Management Accountants
- Chartered Institute of Public Finance and Accountancy
You must have a minimum of 5 years’ experience using Board Intelligence/Diligent Boards and Blueprint or other comparable company secretarial systems.
